Business Organizations

This course is an elective in the Paralegal Certificate, but may also be taken as a standalone course. This course is offered once per year.

This class provides the foundation for understanding the types of legal entities most commonly used by businesses including sole proprietorships, partnerships, limited liability companies and corporations. It will focus on how such entities are created, managed, taxed, transferred and terminated, as well how such businesses may be liable for the actions of its agents and employees.


After this class, you will be able to:

  • Understand the advantages and disadvantages of different business entities
  • Draft a basic partnership agreement
  • Incorporate a corporation and organize an LLC on the Georgia Secretary of State’s website
  • Understand how business entities operate and who may act for those entities
